These Terms of Service ("Terms") govern your access to and use of the Rubi Automation website at rubiautomationsystems.com and any related services we provide (collectively, the "Services"). By using our Services, you agree to these Terms. If you do not agree, please do not use the Services.

Use of the Services

You may use our Services only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Services in any way that violates applicable laws or regulations
• Attempt to gain unauthorized access to our systems, networks, or data
• Interfere with or disrupt the integrity or performance of the Services
• Use the Services to transmit harmful code, spam, or unsolicited communications
• Misrepresent your identity or affiliation with any person or organization

Services and Engagements

Our Services include, but are not limited to: AI-powered dormant contact reactivation campaigns, customer engagement automation, voice AI receptionist deployment, review management automation, and invoice follow-up automation. Specific deliverables, fees, and terms for each engagement will be governed by a separate Partnership Agreement signed between you (the client) and Rubi Automation. In the event of any conflict between these Terms and a Partnership Agreement, the Partnership Agreement controls.

Pricing and Payment

For free strategy calls, no fees apply. For client engagements, fees are set out in the applicable Partnership Agreement. Performance-based engagements are paid based on documented recovered revenue, calculated according to the tracking mechanism agreed upon in writing. Net-7 payment terms apply unless stated otherwise.

Intellectual Property

The Services, including all content, designs, code, AI prompts, workflow architecture, and trademarks, are owned by Rubi Automation or our licensors and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to use the Services as intended. Client data and customer relationships remain the property of the client.

SMS Communications

If you provide your phone number, you may receive SMS messages from us in connection with your inquiry or our services. Full details on SMS communications are described in our Privacy Policy. You can opt out at any time by replying STOP.

Third-Party Services

Our Services rely on third-party providers including Twilio, GoHighLevel, OpenAI, Cal.com, Vercel, and others. We are not responsible for the availability, accuracy, or content of third-party services, and your use of them may be subject to their own terms and policies.

Disclaimers

The Services are provided "as is" and "as available" without warranties of any kind, either express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee specific revenue results, conversion rates, or business outcomes from the use of our Services. Outcomes depend on factors outside our control, including the quality of your contact data, your sales team's responsiveness, and market conditions.

Limitation of Liability

To the maximum extent permitted by law, Rubi Automation will not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, lost data, or business interruption, arising out of or in connection with your use of the Services. Our total liability to you for any claim arising under these Terms is limited to the amount you have paid us in the twelve (12) months preceding the claim.

Indemnification

You agree to indemnify and hold harmless Rubi Automation, its officers, employees, and agents from any claims, damages, losses, liabilities, and expenses arising from your use of the Services, your violation of these Terms, or your violation of any rights of a third party.

Termination

We may suspend or terminate your access to the Services at any time, with or without cause, with or without notice. You may stop using the Services at any time. Sections of these Terms that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, and indemnification) will remain in effect.

Governing Law

These Terms are governed by the laws of the State of New Jersey, United States, without regard to its conflict-of-laws principles. Any dispute arising under these Terms will be resolved in the state or federal courts located in New Jersey, and you consent to the exclusive jurisdiction of those courts.

Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the "Effective" date at the top of this page. Continued use of the Services after a change indicates your acceptance of the updated Terms.
